Terms of Use

1. Acceptance

By accessing or using the ShopProof website or software platform, you agree to these terms. If you use ShopProof on behalf of an organization, you represent that you are authorized to bind that organization or that you are an authorized user under its account.

2. The ShopProof service

ShopProof is an electronic quality management platform for manufacturers. Features may include quality records, workflows, approvals, document control, training, inspections, audits, calibration, maintenance, supplier quality, traceability, APQP, PPAP, FMEA, SPC, dashboards, reporting, exports, and related capabilities. Features, plans, limits, and availability may vary by subscription, configuration, facility, permissions, and written agreement.

3. Accounts and authorized users

You must provide accurate account information, maintain the confidentiality of credentials, use reasonable security practices, and promptly notify ShopProof of suspected unauthorized access. Customer administrators are responsible for inviting users, assigning roles and permissions, managing facilities, reviewing configurations, and removing access when no longer appropriate.

4. Customer data

As between ShopProof and the customer, the customer retains ownership of data and content entered or uploaded by the customer or its users. The customer grants ShopProof the limited rights necessary to host, process, transmit, back up, display, and otherwise handle customer data to provide, secure, support, and improve the service and fulfill applicable agreements. The customer is responsible for the lawfulness, accuracy, quality, permissions, and retention requirements associated with its data.

5. Acceptable use

You may use ShopProof only for lawful business purposes and within the scope of your authorized account. You may not attempt to gain unauthorized access; interfere with service security or availability; introduce malware; use the service to violate law or third-party rights; scrape or burden the service through automated means; reverse engineer except where expressly permitted by law; bypass subscription, permission, or usage controls; or use another customer’s data without authorization.

6. Subscription, fees, and changes

Paid access, implementation, migration, custom development, storage, support, renewal, cancellation, and payment obligations are governed by the applicable order form, proposal, invoice, or subscription agreement. Published website pricing is informational and may change prospectively. Taxes and third-party costs may apply unless stated otherwise.

7. Availability, maintenance, and support

ShopProof may perform maintenance, deploy updates, modify features, or temporarily restrict access to protect security, integrity, or availability. We work to provide a reliable service but do not guarantee uninterrupted or error-free operation unless a written service-level commitment expressly states otherwise.

8. Backups and exports

ShopProof may maintain backups and recovery measures as part of service operations. Customers remain responsible for their own legal, regulatory, record-retention, business-continuity, and export requirements and should use available export capabilities as appropriate.

9. Suspension and termination

ShopProof may suspend or restrict access when reasonably necessary to address nonpayment, security threats, unlawful activity, material breach, risk to the service or other users, or legal requirements. Account termination, data export, deletion, and post-termination obligations are governed by the applicable customer agreement and documented procedures.

10. Intellectual property

ShopProof and its licensors retain all rights in the software, website, designs, documentation, trademarks, logos, workflows, interfaces, and related technology, excluding customer data. No rights are granted except the limited right to use the service under these terms and the applicable customer agreement.

11. Feedback

If you voluntarily provide suggestions, ideas, or feedback, you permit ShopProof to use them without restriction or compensation, provided we do not publicly identify you as the source without permission.

12. Third-party services

ShopProof may interact with third-party hosting, storage, email, conversion, authentication, integration, or other services. Third-party services may be governed by separate terms, and ShopProof is not responsible for third-party products selected or controlled by the customer.

13. Standards and regulatory disclaimer

ShopProof provides tools that can support standards-aligned quality processes. ShopProof is not a certification body, registrar, legal adviser, auditor, or regulatory authority. Use of ShopProof does not by itself establish or guarantee certification, conformity, legal compliance, regulatory compliance, audit success, product quality, or the effectiveness of a customer’s quality management system.

14. Disclaimers

Except as expressly stated in a signed agreement, the website and service are provided “as is” and “as available.” To the maximum extent permitted by law, ShopProof disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

15. Limitation of liability

To the maximum extent permitted by law and except as otherwise stated in a signed agreement, ShopProof will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, business opportunities, or loss or corruption of data arising from the website or service.

16. Changes to these terms

We may update these terms as the service, law, or business practices change. Updated terms will be posted with a revised date. Material changes may also be communicated through the service or by email. Continued use after the effective date of revised terms constitutes acceptance where permitted by law.

17. Severability and waiver

If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver.
